1. Introduction

This User Agreement, alongside all policies and additional terms available on our websites, applications, tools, and services (referred to collectively as "Services"), outlines the terms on which YourProps offers you access to and use of these Services. By using or accessing the Services, you agree to comply with all provisions of this User Agreement.

The entity providing the Services is RARELIC GmbH, located at Steinbißstraße 104, 52353 Düren, Germany. Within this agreement, the terms "YourProps," "we," or "us" refer to this entity.

2. About YourProps

YourProps is a platform and marketplace that facilitates users in displaying, selling, and purchasing goods and services in various geographic regions and pricing formats. However, YourProps is not directly involved in sales contracts between buyers and sellers, nor does it act as a traditional auctioneer.

Guidance provided by YourProps, such as tips on pricing, shipping, listing, or sourcing, is offered purely for informational purposes, and it is up to the user whether or not to follow it. YourProps may utilize AI-powered tools to enhance its Services, provide personalized experiences, improve customer support, and detect fraud. However, the accuracy and availability of such tools are not guaranteed.

While YourProps may assist in resolving disputes between buyers and sellers through specific programs, it does not guarantee the following: the existence, quality, legality, or safety of listed items; the truth or accuracy of user content or listings; the ability of sellers to fulfill transactions; the ability of buyers to pay; or the completion of transactions, including item returns.

3. Using YourProps

When using or accessing our Services, you agree to adhere to this User Agreement, our policies, and all applicable laws, rules, and regulations. Additionally, you agree not to:

Violate or bypass any laws, regulations, third-party rights, or the rules and systems of YourProps.
Use the Services if you are unable to form legally binding contracts, are under 18, are temporarily or indefinitely suspended, or are restricted due to economic or trade sanctions.
Fail to pay for items you purchase, except in cases where a valid reason is permitted under YourProps policies, such as when a seller materially changes the description of an item after you place a bid.
Fail to deliver items you have sold unless allowed under applicable YourProps policies.
Manipulate the pricing of items or interfere with the listings of other users.
Take actions that undermine the feedback or ratings system.
Transfer your account, including feedback and user ID, to another person without obtaining prior consent from YourProps.
Share your login credentials with third parties.
Post content or create listings in inappropriate categories or sections of the platform.
Participate in gambling activities.
Submit content that is false, misleading, defamatory, illegal, or infringes on the rights of others.
Send spam, unsolicited communications, chain letters, or participate in pyramid schemes.
Spread viruses, malware, or any other technologies that could harm YourProps or its users.
Use bots, scrapers, data extraction tools, or other automated means to access the Services without explicit permission.
Attempt to bypass security features or interfere with the platform’s functionality.
Export or re-export YourProps applications or tools in violation of relevant export control laws.
Infringe on the intellectual property rights of YourProps or third parties.
Gather or use information about users without their consent.

If YourProps believes you have violated this agreement or engaged in prohibited conduct, we may, at our sole discretion, limit, suspend, or terminate your account, remove or restrict content, adjust account privileges, and take legal or technical measures to address the issue.

YourProps also reserves the right to deactivate accounts that remain unconfirmed or inactive for a significant period. We may modify or terminate any portion of our Services at our discretion.

4. Policy Enforcement

In resolving issues between buyers and sellers, YourProps may consider a user’s history and the specific circumstances surrounding a dispute. We may apply leniency in enforcing policies to achieve fair outcomes but reserve the right to modify, refuse, or terminate Services as we see fit.

5. Fees

There are no fees or commissions for listing or selling items on YourProps. Registration, item listings, and sales are all completely free of charge - for both buyers and sellers. In other words, buyer and seller commissions are 0%.

6. Listing Conditions

When creating a listing for an item, you agree to the following:

You will comply with YourProps’s policies, including the Prohibited Activities Policy.
You take full responsibility for the accuracy and content of the listing, including content generated through tools provided by YourProps or third parties (e.g., translation or AI tools).
Listings may not appear immediately in search results and may take several hours (or up to 24 hours in some cases) to become searchable by keywords or categories.
Fixed-price listings may renew automatically based on the terms of the listing until all items are sold or the listing is ended.
All content in your listings must comply with YourProps’s policies, including the Images, Videos, and Text Policy.
YourProps may modify, obfuscate, or remove content that violates its policies at its sole discretion.
The placement of listings in search or browse results may depend on several factors, including:

Buyer location, search queries, and browsing history.
Item location, format, pricing, shipping terms, and relevance to the search query.
Seller performance, policy compliance, feedback, and defect rates.

YourProps may remove or alter metadata and URLs included in listings.

You must not sell or list any products that have been recalled by manufacturers or government agencies.

YourProps is not responsible for the safety, performance, or compliance of listed products.

You are solely liable for ensuring product compliance and addressing recalls or defects.

YourProps may promote your listings and related content, including your username and reviews, across its Services and partner networks.

Selling fees do not guarantee exclusive visibility on the platform.

YourProps may display third-party advertisements within or alongside your listings.

You must promptly remove any listings for products that pose a health or safety risk or violate applicable regulations.

7. Purchase Conditions

When buying items on the platform, you agree to:

Carefully review the entire item description before placing a bid or purchase.
Enter into a legally binding contract once your bid or offer is accepted, or once you commit to buy an item.
Understand that legal ownership transfers directly from the seller to the buyer.

8. International Transactions

Since YourProps operates as a global online platform, listings may be accessed by and purchased from users worldwide. Sellers and buyers are responsible for ensuring that all transactions comply with the applicable laws and regulations governing the international sale, purchase, and shipment of items.

You authorize YourProps to utilize automated tools to translate your content, including member-to-member communications, into local languages where such solutions are available. In some cases, we may provide tools that enable you to translate content at your request. Please note that the accuracy and availability of these translations are not guaranteed.

9. Content

When you provide content to YourProps, either directly or indirectly, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license (through multiple tiers) to use, modify, display, and distribute the content. This license applies to all media formats, whether existing or developed in the future, and supports the operation, enhancement, and promotion of our Services.

To the fullest extent permitted by applicable law, you waive your rights to enforce any moral or intellectual property claims against YourProps, our sublicensees, or their assignees for the use of this content in relation to our Services.

You represent and warrant that:

You own or control all necessary rights to provide the content and fulfill your obligations under this User Agreement.
Your content is accurate, lawful, and appropriate.
The use of your content, as permitted by this Agreement, does not infringe the intellectual property rights of any third party.

YourProps assumes no responsibility for the content you or third parties provide.

The name "YourProps" and associated marks, logos, designs, and phrases are protected trademarks, service marks, or trade dress belonging to YourProps. They may not be used without our explicit written consent.

10. Notice for Claims of Intellectual Property Violations

YourProps responds to notifications of alleged copyright infringement in accordance with the United States Digital Millennium Copyright Act (DMCA). If you believe your intellectual property rights have been violated, please contact us via email, and we will investigate the matter.

11. Privacy of Others

If YourProps provides you with information about another user, you agree to use this information only for its intended purpose. You must not disclose or share this information with third parties for purposes unrelated to our Services.

You are permitted to send marketing communications to other users only if they have explicitly agreed to receive them and only in compliance with applicable laws. Such communications must be conducted through YourProps’s Services unless otherwise authorized.

12. Disclaimer of Warranties; Limitation of Liability

YourProps strives to maintain a safe, secure, and functional platform but cannot guarantee uninterrupted access or flawless operation. Notification features, such as bid updates, may experience delays due to factors beyond our control.

You acknowledge that you use the Services at your own risk. The Services are provided "as is" and "as available" without any express or implied warranties. To the extent permitted by law, YourProps disclaims all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

In addition, to the fullest extent allowed by law, YourProps (including its affiliates, subsidiaries, officers, directors, employees, and agents) will not be liable for:

Loss of money, reputation, profits, or other intangible assets.
Special, indirect, or consequential damages, even if foreseeable or if YourProps has been informed of the possibility of such damages.
Damages resulting from user-provided content, third-party actions, pricing or shipping guidance, delays, viruses, or inaccuracies in the Services.
Hardware damage caused by using our platform or applications.
Suspension or other actions taken against your account.

Some jurisdictions do not permit the exclusion of certain warranties or damages, so portions of this section may not apply to you.

If YourProps is found liable, its total liability is limited to the greater of:

Any amounts covered by the YourProps Money Back Guarantee for the item’s sale price and original shipping costs.
The fees you paid to YourProps in the 12 months prior to the claim.
$100.

13. Release

If you encounter a dispute with another user, you agree to release YourProps, its affiliates, and employees from any claims, demands, and damages, whether known or unknown, arising from or connected to the dispute. By agreeing to this release, you waive any statutory protections that limit coverage to claims you are aware of at the time of entering into this agreement.

14. Indemnity

You agree to indemnify and hold YourProps (including its affiliates, officers, directors, employees, and agents) harmless from any claims or demands arising out of:

Your breach of this User Agreement.
Your misuse of the Services.
Your infringement of any laws or third-party rights.
This indemnification includes reasonable legal fees and costs.

15. Legal Disputes

Please read this section carefully, as it significantly impacts your rights and the resolution of disputes between you and YourProps.

A. Governing Law

All claims or disputes arising out of this User Agreement, the Services, or your interactions with YourProps will be governed by the laws of the Federal Republic of Germany, excluding its conflict of law principles.

16. General

If any provision of this User Agreement is found to be invalid or unenforceable, it will be removed without affecting the enforceability of the remaining provisions.

YourProps may assign its rights and obligations under this agreement at its sole discretion. Notice of such an assignment will be posted on www.YourProps.com.

Headings in this agreement are for reference only and do not limit the scope of the terms. Failure by YourProps to enforce any provision does not constitute a waiver of that or any other provision.

We may amend this agreement at any time by posting updated terms on www.YourProps.com. Significant changes will be announced at least 30 days in advance through email or the YourProps Message Center. Continued use of the Services indicates acceptance of the revised terms.

If you create an account on behalf of a business entity, you confirm that you have the authority to bind that entity to this User Agreement. Such accounts belong to the entity, not the individual user. This agreement does not create any partnership, joint venture, or employer-employee relationship.

The following sections survive termination of this agreement: Fees and Taxes, Content, Indemnity, Release, Legal Disputes, and General.

Prohibited Activities

You may not use YourProps Services, including its platform, tools, and applications, for activities that:

Violate applicable laws: This includes breaching any law, statute, ordinance, or regulation.
Facilitate illegal transactions: This includes activities involving:

Narcotics, steroids, controlled substances, or other items that pose risks to consumer safety.
Drug paraphernalia.
Cigarettes or other tobacco products.
Goods that encourage, promote, facilitate, or provide instructions for illegal activities.
Stolen goods, including digital and virtual products.
Content that promotes hate, violence, or discrimination based on race, religion, gender, or other forms of intolerance.
Obscene or explicit materials that are prohibited by law.
Items that infringe upon or violate copyrights, trademarks, publicity rights, privacy rights, or any other proprietary rights protected by law.
Ammunition, firearms, firearm parts, or accessories.
Certain types of knives or weapons that are regulated under applicable law.

Support unlawful schemes or practices: Activities that involve:

Pyramid schemes, Ponzi schemes, or other multi-level marketing systems.
Get-rich-quick schemes or unregulated financial services.
Transactions for products or services associated with bribery or corruption.

Engage in fraudulent activities: This includes selling items before obtaining control or possession of them, or transactions aimed at defrauding users.

Sell unsafe or non-compliant goods: This includes items identified by government agencies as likely to be fraudulent, hazardous, or illegal.

Expose or misuse private data: Transactions involving the display or misuse of third-party personal information are prohibited.

Engage in unapproved transactions: You may not conduct any activity requiring prior approval without first obtaining explicit permission.

YourProps reserves the right to enforce these prohibitions, including suspending accounts, restricting Services, or taking legal action where necessary.
